15) Use of Artificial Intelligence (AI)

UBM is not responsible for decisions made based on AI outputs. We apply contractual and technical safeguards with AI vendors and avoid sending sensitive data unless strictly necessary and lawful.

16) Dispute Resolution & Arbitration

Negotiation first. Before arbitration, senior representatives will attempt to resolve disputes in good faith within 30 days of written notice.

Arbitration. Any dispute arising out of or relating to this Notice shall be resolved by final and binding individual arbitration administered by JAMS under its applicable rules. The seat/place of arbitration will be Wilmington, Delaware, USA. Proceedings will be in English. The Federal Arbitration Act (9 U.S.C. §§ 1–16) governs. The arbitrator will apply Delaware law (without regard to conflict rules) and may not conduct class/representative proceedings. The arbitrator shall provide a written decision summarizing essential findings.

No class actions / jury waiver. You and UBM agree to bring claims only in your individual capacity, waive jury trial, and waive participation in class, collective, or representative actions.

Fees & confidentiality. Each party bears its own costs and shares arbitrator fees equally unless otherwise required by law or awarded by the arbitrator. Arbitration proceedings and awards are confidential to the extent permitted by law.

17) Disclaimer & Limitation of Liability

The services and content are provided “as is.” To the fullest extent permitted by law, UBM disclaims all warranties (express or implied). UBM is not responsible for errors, interruptions, viruses, or inaccuracies and will not be liable for indirect, incidental, special, consequential, or exemplary damages.

18) Release

You release UBM and its affiliates, officers, directors, employees, and agents from claims and damages arising out of your use of our sites/services and any linked third‑party sites, subject to non‑waivable rights under applicable law.

19) Indemnification

You agree to indemnify and hold harmless UBM and its personnel from claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your use of our services or violation of this Notice or third‑party rights.

20) Severability

If any provision is found invalid or unenforceable, the remaining provisions will remain in full force and reflect the parties’ intent as closely as possible.
